Terms of Service and Sale

LevelUpWith is operated by Zapital Ltd, a company registered in England and Wales under company number 09161415, with its registered office at 32 Stone Hall Road, London, England, N21 1LP.

For privacy, legal, customer-service and other direct enquiries, email levelupwith@zapital.com. Other direct contact information may be requested through that address. Enquiries are handled by the LevelUpWith Privacy & Safety Team.

1. The service

LevelUpWith is an online learning platform. Depending on your plan, you can study published courses, take quizzes and exams, listen to podcast editions, talk to an AI tutor, and create your own courses with AI assistance ("created content").

These Terms are a contract between you and Zapital Ltd. By creating an account and agreeing to these Terms you accept them. If you do not agree, do not use the service.

2. Eligibility

You must be 18 years of age or over to register. By registering you confirm that you are. Published courses and podcast feeds may be viewable without an account; account features are for adults only.

3. Your account

You are responsible for keeping access to your sign-in email secure and for activity on your account. Tell us at levelupwith@zapital.com if you believe your account has been compromised.

4. Plans, billing and cancellation

  • Prices, billing frequency and what each plan includes are shown on the pricing page before you pay. Payment is taken by our payment provider, Stripe. We never see or store your card details.
  • Day Pass is a one-off purchase for approximately 24 hours of access. It never renews.
  • Monthly plans renew automatically each month on your billing date until cancelled. You can cancel at any time from your account or by emailing levelupwith@zapital.com; cancellation takes effect at the end of the current billing period and you keep access until then.
  • After a paid plan ends, content you created remains accessible through your free account; building new courses and paid catalogue access require an active plan.

5. Cooling-off and refunds

You have a statutory 14-day cancellation right for online purchases. Because LevelUpWith is a digital service, at checkout you expressly request that access starts immediately and acknowledge that:

  • for the Day Pass (fully delivered within the 14 days), once access has been supplied the statutory right to cancel is lost;
  • for monthly plans, if you cancel within 14 days of first purchase we may deduct a proportionate charge for the service already supplied and refund the balance.

Our 14-day satisfaction guarantee. In addition to your statutory rights, if you are not satisfied with the Day Pass or the All Access plan, email levelupwith@zapital.com within 14 days of your first payment and we will refund that payment in full, with no deduction for the service already supplied. The guarantee covers one refund per customer, on your first Day Pass or All Access payment. It does not cover renewals, and it does not cover the Creator and Creator Pro plans, which follow the statutory rules above because course builds consume paid AI capacity as they are made. A refund under the guarantee ends the plan and the access it granted; any course built with the plan's build allowance is treated as unpaid and may be removed.

Nothing in these Terms affects your statutory rights, including where the service is faulty or not as described. Refund requests: levelupwith@zapital.com.

6. Created content and intellectual property

As between you and Zapital, all intellectual-property rights arising in courses, lessons, assessments, questions, outlines, summaries, images, audio, podcast editions and other platform materials created through LevelUpWith are owned by Zapital Ltd to the fullest extent permitted by law.

To the extent that you acquire or retain any rights in those materials, you assign those rights to Zapital Ltd with full title guarantee, including by way of present assignment of future copyright. You authorise Zapital to inspect, review, edit, adapt, combine, reproduce, publish, distribute, license, commercialise, withdraw and delete those materials.

You waive, and agree not to assert, moral rights in those materials to the extent permitted by law.

This assignment does not transfer ownership of your pre-existing materials or an uploaded source document. Any rights in those materials are addressed in section 8.

7. Account access, not ownership

Courses you create remain accessible through your account in accordance with these Terms. Account access does not transfer ownership of the course content or associated intellectual property. Labels such as "My courses" describe where content lives in the product, not legal title.

8. Uploaded source documents

Upload only material that you are legally entitled to use for this purpose. This may be because you own it, have permission or a suitable licence, or have another applicable legal basis.

Uploaded material is stored and processed to generate your course. It may be converted into extracted text, and relevant extracts may be sent to Zapital's AI service providers. Uploading a document does not transfer ownership of that document to Zapital. Each upload requires a recorded confirmation that you have the necessary rights, including for publication if you later submit the resulting course for the catalogue.

LevelUpWith uses source material to generate a new educational course. The course may draw extensively on the source's facts, ideas, principles and subject matter, but is intended to express and organise that material as newly generated educational content rather than reproduce protected passages. Whether third-party rights apply to particular generated content depends on the source, the resulting content and the applicable circumstances. Zapital owns the intellectual-property rights arising in the generated course and associated platform materials to the fullest extent permitted by law. This does not transfer ownership of the uploaded source or override third-party rights that may apply in a particular case.

9. Publication control

Creating a course does not guarantee publication. You may recommend eligible content for publication, but Zapital has sole discretion to decide whether, when, where and in what form content is reviewed, edited, published, licensed, promoted, withdrawn or removed. Nothing user-created reaches the public catalogue without review.

Publication does not transfer ownership back to the creator. A creator may request correction or withdrawal, but Zapital retains the final decision subject to applicable law.

10. AI-generated content and its limits

LevelUpWith uses artificial intelligence to generate and explain educational content. AI output may contain errors, omissions or unsuitable material and should not be treated as professional, legal, medical, financial or other regulated advice.

Zapital may review or correct content but does not guarantee that every item has been manually reviewed before use.

11. Tutor conversations and administrator review

AI tutor conversations are stored and may be reviewed by authorised Zapital administrators for service operation, quality assurance, abuse prevention, safety, complaint handling and investigation of suspected breaches. Course content, source-document metadata, generated materials and account activity may also be reviewed where reasonably necessary for these purposes. Access is restricted, logged and subject to internal controls.

Do not include unnecessary confidential, sensitive or third-party personal information in tutor messages or source documents.

12. Acceptable use

You must not use LevelUpWith to:

  • create, upload or share content that is illegal, or that infringes another person's rights, including intellectual-property rights;
  • create or share content that is abusive, hateful, pornographic, or that endangers children;
  • attempt to generate content designed to deceive, defraud or harm others;
  • probe, disrupt or overload the service, or attempt to access other users' data;
  • misrepresent AI-generated content as professional advice;
  • resell or systematically extract the service or its content without written permission.

We may remove content, suspend building privileges or close accounts that breach this section. Serious or repeated breaches may be reported to authorities where required.

13. Reporting content and complaints

Anyone can report content or make a complaint — see the Content Reporting and Complaints Procedure. We review reports, take proportionate action (including editing, unpublishing or removal), and explain the outcome.

14. Liability

Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, Zapital's total liability to you in connection with the service in any 12-month period is limited to the amounts you paid for the service in that period, and Zapital is not liable for indirect or consequential loss, or for loss caused by relying on AI-generated content contrary to section 10.

15. Changes to the service and these Terms

We may improve or change the service, and may update these Terms. If we make a material change we will ask you to review and accept the new version before continuing to use account features. The version and effective date at the top of this page identify the current Terms.

16. Governing law

These Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction — though if you live in Scotland or Northern Ireland you may also bring proceedings there. Consumers keep the protection of any mandatory rules of the country they live in.
